SEC and SET co-organize a seminar on “Three Lines of Defense for Listed Companies,” focusing on effective disclosure and enhancing market confidence

Bangkok, 24 September 2024 – The Securities and Exchange Commission (SEC), in collaboration with the Stock Exchange of Thailand (SET), has organized a seminar on the topic, “Three Lines of Defense for Listed Companies” under the Strengthening Good Governance of Securities Issuers Project. The seminar highlighted the key mechanism for strengthening and promoting good corporate governance of listed companies through effective disclosure of information in line with the guidelines for building trust and confidence in the capital market. The seminar took place on 24 September 2024, attracting more than 400 listed company directors and related parties.  

This seminar aimed to promote listed companies’ awareness of the importance of the Three Lines of Defense in fostering good corporate governance. It also sought to enhance the understanding of collaborative efforts to achieve effective operations that can overcome various obstacles and restore investors’ confidence. Additionally, the seminar communicated to listed companies the expectations regarding proper disclosure of information, which should reflect both past performance and a clear vision for future operations, with perspectives from investors who have direct experience in selecting stocks of listed companies. Mrs. Pornanong Budsaratragoon, SEC Secretary-General, and Mr. Asadej Kongsiri, SET President, gave opening remarks for the seminar attendance of more than 400 persons.

SEC Secretary-General Pornanong Budsaratragoon said: “The SEC emphasizes the importance of raising quality standards of listed companies and related parties, especially through the Three Lines of Defense, namely the Board of Directors, the Audit Committee, and the Auditor. These three parties play the primary roles of overseeing and promoting good corporate governance of listed companies for the best interest of shareholders. This is why we emphasize raising the awareness of the roles, responsibilities, and challenges of working together, as well as guidelines for addressing various issues and preparing for new challenges that listed companies may encounter in the future. Furthermore, we give priority to effective disclosure of listed company information to enhance trust and confidence in the capital market, making it more attractive to both domestic and international investors. Listed companies are encouraged to disclose information that is sufficient, accurate, reliable, clear, easy to understand, and timely, ensuring that all investor groups have equal access to such information. The disclosed information must also reflect both past performance and future action plans.”  

The seminar also featured a panel discussion on the importance and the synergy of the Three Lines of Defense, market overviews and the sharing of views on issues in the Thai capital market as well as approaches for addressing such challenges. Guest panelists from the public and private sectors included Mr. Surasak Dudsdeemaytha, Executive Vice President of Kasikornbank Public Company Limited, Mrs. Sirivipa Supantanet, Listed Company Audit Committee Member, Miss Ratana Jala, Country Managing Partner of EY Thailand Company Limited, Mr. Win Phromphaet, Executive Chairman of Kasikorn Asset Management Co., Ltd., Mr. Paiboon Dumrongwaree, SEC Assistant Secretary-General in charge of Fundraising Division, and Miss Samanun  Songkrohrath, SET Vice President-Head of Issuer Department.

This seminar was held under the “Strengthening Good Governance of Listed Companies Project,” with the objective of enhancing corporate governance of securities issuers and promoting listed company personnel's awareness of their roles and responsibilities, which are crucial to the Thai capital market.
