Bangkok, September 23, 2015 ? Mr. Pariya Techamuanvivit Director, Corporate Affairs Department revealed that the SEC is currently seeking public comments on the draft rules regarding underwriting business.? The objectives of the rule-amendment are to promote flexibility and prevent conflict of interest.
The proposal has undergone series of discussions with various stakeholders including securities underwriters. The proposed new rules cover the addition of municipal bond as securities, and filings in English version when foreign securities are offered, and the prohibition imposed to underwriters, their executives, and staffs who are in relations to stocks and REIT underwriting deals, from selling them for a prescribed period of time after listing. This prohibition aims to prevent conflict of interest as the selling of stocks and REIT by the underwriter at the beginning stage of listing may significantly impact trading volumes and price of such securities.? The proposal also include the rule which requires lead underwriter to issue 4 consecutive quarterly research papers after the initial public offerings process to provide the public adequate and ongoing information for investment decision making.
