Bangkok, 20 September 2017 ? The SEC is seeking public comments on the principles and the amended rules governing listed companies? disclosure of good corporate governance compliance via Form 56-1 and Form 69-1. The revised forms take into account compliance with the new Corporate Governance Code (CG Code), which was jointly introduced by the SEC and relevant capital market organizations earlier this year.
The CG Code offers the boards of directors, as the governing body of listed companies, guidelines for incorporating good corporate governance principles into business operation as deemed appropriate to ensure the companies? long-term sustainable value creation.
As the CG Code is in effect, the SEC is proposing amendment to the principles and relevant rules on information disclosure through the Annual Registration Statement (Form 56-1) and the Registration Statement for Securities Offering (Form 69-1) to include the CG Code compliance as well as other important information such as the level of the boards? understanding of their roles and responsibilities related to the CG Code and its practical relevance to the companies? business context, in the listed companies? disclosure.
The revised Form 56-1 and Form 69-1 are expected to become effective for the financial periods ending 31 October 2017 and 1 April 2018, respectively.
