Bangkok, Thursday 14 May 2020 - SEC issued circular letters, dated 12 May 2020, to every listed company and security issuer to give a guideline on disclosing information regarding effects of the outbreak of Coronavirus Disease 2019 (COVID-19) on the company, in order for investors to monitor information relating to the operations of listed companies for investment decision-making.
SEC revealed that, under the situation
of the outbreak
of COVID-19 which has impacted the business operations, the financial positions
and the performance of listed companies and security
issuers, and the trading prices of
securities of listed companies on the Stock Exchange of Thailand. SEC, therefore, encouraged every listed company and security
issuer to disclose both positive and
positive effects of COVID-19 on the company. This information could be disclosed
via different channels, including financial statements, in order that investors
will be informed of important information for monitoring the business
operations and for a proper investment making-decision in a reasonable period
of time. In addition, SEC has issued a
guideline on information disclosure for listed companies’ consideration in
disclosing this information to investors.
In addition, in view of the due date for
submission of the financial statements of the first quarter of 2020, ending 31
March 2020 (due on 15 May 2020), if a
listed company cannot submit its financial statement to SEC due to COVID-19 and
wishes to extend the submission of financial statements, the company shall
comply with the requirements of the Notification of the Office of Securities
and Exchange Commission No. SorJor. 31/2563 dated 27 March 2020. It shall, also,
clearly disclose the events that cause obstacles or limitation to its
operations or to material information access, and submit the letter requesting a
relaxation to SEC by 14 May 2020. For the companies that
have already been granted relaxation on submission of financial statements, they
shall disclose effects of COVID-19 on the
company in accordance with the guideline.
