Bangkok, 10 October 2018 - SEC is seeking opinions on its draft notification on information disclosure for securities offerings through an audiovisual format to enable investors to obtain information in a new format for their consideration before making investment decisions. This will correspond with investors’ changing behaviors in receiving information. This notification will apply to companies that file their filing forms from 1 April 2019.
Early this year, SEC held public
hearings to obtain views on establishing rules that require companies issuing
IPOs to disclose information related with the offering for sale of their
securities in an audiovisual format in a bid to respond to the changing
behaviors of investors, who tend to use the Internet more as a channel to
receive information and do not spend as much time on reading long information
disclosure forms. This idea was well supported from both business operators and
investors.
SEC is therefore seeking opinions
on the draft notification before it becomes into effect. Suggestions will be
considered to improve the rules so that they do not impose burden on issuers in
practice. For example, scripts may be submitted for SEC’s approval instead of audiovisual
clips. Furthermore, issuers will be given a longer period before this
notification comes into effect. That is the new rules will apply to companies
that file their filing forms from 1 April 2019. This will give issuers sufficient
period of time to prepare themselves.
