Private Placement (PP) – in case of a non-listed company

• The nature of offers is one of the following:

1. The value of offer is ≤ 20 million baht.

2. There are ≤ 50 investors.

3. Being an institutional investor.

• No need to request approval or filing, but it must comply with the conditions for authorizing PP, such as:

1. Having received an explicit resolution of the shareholders' meeting to approve the offering and such resolution shall not have been passed more than one year. Public advertisement is prohibited.

2. Promotion materials can only be distributed only in the PP cycle.

3. Must not co-sign the filing to allow PP shareholders to offer PO within two years

• Report the offering results to the SEC within 15 days​
