SEC and ThaiBMA jointly conduct a public hearing on proposed revisions to the Terms and Conditions for Bond Issuers and Bondholders

Bangkok, 7 November 2024 The Securities and Exchange Commission (SEC), in collaboration with the Thai Bond Market Association (ThaiBMA), is inviting public comments on proposed revisions to the Terms and Conditions Stating the Rights and Duties of the Debenture Issuer and Debenture Holders (Terms and Conditions). These revisions aim to align with the amended SEC regulations, improve the efficiency of bondholder representatives in protecting bondholders’ interests, and provide greater operational flexibility for bond issuers. 

The Terms and Conditions are essential for enforcing bond repayment obligations and establishing the commitments between bond issuers and bondholders. Additionally, they serve as a reference for the duties of various parties involved with any particular bond, including bondholder representatives and bond registrars.

This joint proposal for revising the Terms and Conditions builds on the SEC and ThaiBMA past collaboration, including the making and dissemination of the Sample Bondholders’ Representative Appointment Agreement to facilitate and reduce costs for bond issuers and bondholder representatives in preparing the bondholder representative appointment. This initiative also enhances the efficiency of bondholder representatives in safeguarding bondholders’ interests and boosting confidence in the bond market. Additionally, the SEC has amended the regulations on the issuance and offering of debt securities to enhance the approval rules and disclosure criteria in the bond market.

Stakeholders and interested parties are welcome to submit comments and suggestions on the proposed revisions to the Terms and Conditions via the above website.
