SEC amends fee regulations for filing the annual registration statement of listed companies

Bangkok, 2 January 2025 – The Securities and Exchange Commission (SEC) has amended regulations related to the repeal of fee reduction for filing the annual registration statement of listed companies to better align with current circumstances. 

Pursuant to the Notification of the Office of the Securities and Exchange Commission No. Sor Bor. 28/2547 Re: Determination of Fees for Filing of Registration Statement, Registration and Other Applications dated 7 July 2024, issuing companies whose shares are listed on the Stock Exchange of Thailand (SET) are eligible for a 20-percent reduction of the annual registration statement filing fee. This reduction applies if the companies have never been subjected to any settlements of criminal offence or legal complaint filed by the SEC for failure to prepare and submit financial statements or reports on financial position and operating results as required by law, and also on the condition that the filing fees have been paid within the specified timeframe.

Over the years, the SEC has observed that the majority of listed companies have been able to meet the conditions for the fee reduction. This indicates that the objectives of the criteria —established to encourage listed companies to prepare financial reports in compliance with legal requirements and to incentivize timely payment of the annual registration statement filing fees —have been achieved. In any case, compliance with these requirements is considered a fundamental duty that listed companies should adhere to under the law. The SEC has therefore amended the relevant regulations to repeal the filing fee reduction for the annual registration statement, as specified in the aforesaid Notification.

Nevertheless, the SEC continues to encourage listed companies to focus on important matters, applying the existing fee reduction measures. These include allowing expenses for hiring consultants and/or reviewers to be used as deductions for filing fees related to the registration statement and the annual registration statement for companies that disclose greenhouse gas emission data. The SEC also plans to review and enhance conditions and other fee reduction measures to alleviate burdens on listed companies and to support their cooperation in pursuing the intended outcomes effectively.

The amendments will take effect for the filing of the annual registration statement 2024, to be due for payment in 2025 onwards.
