SEC and ThaiBMA Publish Revised Example of the Terms and Conditions for Bond Issuers and Bondholders, effective from 1 April 2025

Bangkok, 30 December 2024 – The Securities and Exchange Commission (SEC), in collaboration with the Thai Bond Market Association (ThaiBMA), has revised the example of the Terms and Conditions Stating the Rights and Duties of Bond Issuers and Bondholders (Terms and Conditions) in line with SEC’s regulations amended. This revision also aims to enhance the efficiency of bondholder representatives to protect the interests of bondholders while being more convenient to bond issuers. The revised example of the Terms and Conditions is available on the SEC website (https://publish.sec.or.th/nrs/9582a0.pdf) and the ThaiBMA website (https://www.thaibma.or.th/pdf/hearing/sec301224.pdf). 

The Terms and Conditions – a key document for enforcing bond debt repayment – defines the obligations between bond issuers and bondholders and serves as a reference for parties involved in bond-related operations, such as bondholder representatives and bond registrars. The revised Terms and Conditions is in compliance with the SEC’s amended regulations, enhances the efficiency of bondholder representatives in safeguarding bondholders' rights, and facilitates the operations of bond issuers.

 
This revision of the Terms and Conditions is a result of the ongoing collaborative efforts between the SEC and the ThaiBMA. The two parties have also developed and published a sample bondholder representative appointment agreement to facilitate processes and reduce costs for bond issuers and bondholder representatives, while also enhancing the efficiency of bondholder representatives in protecting bondholders' interests and boosting confidence in the bond market. Furthermore, the SEC has amended the regulations on the issuance and offering of debt instruments to improve the standards for approval, issuance, offering, and information disclosure of debt instruments.Top of Form
