Bangkok, August 8, 2014 ? The SEC is seeking public comment on revision of secondary listing regulations to be in consistence with dual offering regulations under which foreign companies launch initial public offering in Thailand and other countries simultaneously or in proximate period. In case of secondary listing, however, if foreign companies are subject to home regulators and home exchanges recognized by the SEC and have been listed on the main boards of such exchanges at least for one year, they will be deemed to have been satisfied the criteria comparable to those of the SEC.
The revision aims to harmonize all regulations on foreign companies? share offerings and ensure that Thai investors have protection comparable to that under Thai law. In this regard, the foreign companies are required to make a comparison of home and Thai laws on shareholder protection, in materiality. In case where the comparison is not feasible, the companies must provide additional shareholder protection measures.
