Bangkok, 6 September 2016 ? The SEC has filed complaints against Marnfah Group Co., Ltd. and Lederer (Thailand) Co., Ltd. and their respective authorized directors with the Economic Crime Suppression Division of the Royal Thai Police on account of offering securities for sale to the public without approval.
According to the received information and the SEC?s further inspection on public solicitation for high yield investment via social media, it was found that Marnfah Group and its authorized director Ornpaphat Chantarasaka had solicited the public to make an investment with the company based on a scheme of minimum 100,000 baht investment for 12 months to earn a high return of 15 percent per annum.
In the case of Lederer (Thailand) and its authorized director Kanyakorn Supakarnkachareon, investors were persuaded to make an investment at the minimum amount of 100,000 baht to earn 5 percent return in six months.
Both companies promised to repay the principal and generate the guaranteed returns gradually every 30 days until the investment contract expires.
Such aforesaid conducts of Marnfah Group, Lederer (Thailand) and their respective authorized directors were liable to public offering of securities without approval in the category of debenture in violation of Section 33 of the Securities and Exchange Act B.E. 2535 (1992).
The SEC has therefore filed separate complaints against the four offenders and informed the proceedings of both cases to relevant agencies for further consideration of enforcement under relevant laws.
The SEC strongly urges investors to exercise discretion especially with regard to any claim of high return of investment, and check whether the solicitor has obtained a license or approval properly. Public fundraising through securities offering needs prior approval while in investment solicitation, the solicator needs to obtain a proper securities business license. Investors should also note that payment of dividends at a higher rate than the highest interest rate of commercial banks may come from the money of previous investors.
