SEC files a complaint against former executive of SUPER for insider trading

Bangkok, 21 September 2016 ? The SEC has filed a criminal complaint with the Department of Special Investigation (DSI) against Mr. Khumsup Lochaya for insider trading of Superblock Public Company Limited (SUPER) shares.

Following a referral from the Stock Exchange of Thailand (SET), the SEC?s further inspection has revealed that Khumsup took advantage of the material information, which had not been disclosed to the public, that SUPER would sell off its assets of all kinds in its core autoclaved aerated concrete business ? including raw materials, licenses, trademarks and inventories ? to Siam City Cement Public Company Limited (SCCC). Khumsup, who at the time was a former executive of SUPER, had an access to the material information by virtue of being assigned by SUPER to contact and coordinate with SCCC. 

SUPER publicly disclosed the information on the asset sell-off via the SET Information Disclosure System on 15 November 2012, but it was found that during 23 July ? 12 November 2012 Khumsup had sold SUPER shares in his own and other persons? trading accounts to gain personal benefits.

Securities trading based on non-public information that is material to the change in securities price is deemed taking an unfair advantage of other persons in violation of Section 241 and liable to the penalties under Section 296 of the Securities and Exchange Act of 1992.

In this case, the offender refused to enter the fining process of the Criminal Fining Committee. The SEC therefore filed the complaint for DSI?s further legal proceeding.

Given the circumstance, Khumsup is deemed to possess the prohibited characteristics of directors and executives of securities issuers and listed companies while he is subject to the complaint and subsequent legal action.

In any case, filing a criminal complaint commences the criminal justice administration whereby the consideration whether a defendant is guilty will be proceeded by the inquiry official and the public prosecutor, and the court will judge the case, respectively.
